Handbook / Ownership

Grants and vesting schedules

Record individual or aggregate awards and calculate their vested and unvested units at the selected ownership date.

Methods and settings

Method / inputBehavior
Immediate / customFully vested from the eligible date, or an explicit vested percentage.
Monthly linearAccrue vesting by completed calendar months over the total duration.
Cliff + monthly linearRelease accrued linear vesting at the cliff, then continue monthly.

Set recipient, units and dates

Add Grant in the selected pool. Choose an external recipient or create an employee/aggregate group, enter units, grant date, grant name and comment. Options also have a strike. Units cannot exceed available capacity, and the grant date cannot be after Ownership date. An aggregate grant has one set of terms and one schedule; create separate grants when terms differ materially.

Read completed-month vesting

Monthly vesting uses completed calendar-month anniversaries from Vesting start, with month-end clamping for shorter months. It does not accrue a daily fraction between anniversaries. Total duration supports 1–1,200 whole months. Cliff months must be nonnegative and cannot exceed total months. Before the grant date or vesting start, the vested fraction is zero.

Inspect a 48-month grant with 12-month cliff

For 480 units over 48 months with a 12-month cliff, no units vest before the completed twelfth month. At that anniversary,120 units vest together; one completed month later,130 are vested, assuming no exercises or forfeitures. The cliff releases accrued vesting rather than starting a new 48-month schedule. Custom vested% directly sets the selected fraction instead of reproducing an arbitrary event schedule.

Use Ownership date safely

Ownership date recalculates vested, unvested and exercisable units. It cannot be moved before an applied grant or award action, or far enough back that already exercised units exceed the vested allowance. Exercised and forfeited counts remain actual applied actions; changing the date is not a reconstruction of a historical Cap Table. Review date changes together with the grant table.

Distinguish units from compensation accounting

Schedules are immediate, monthly linear, cliff-linear or a custom percentage. Performance/market conditions, bespoke vesting-event arrays, accelerated vesting and expense accounting are not modeled. The resulting vested amount controls exercise eligibility; it does not calculate employee tax or option fair value.
