Choose the value basis
ESOP reads the derived closing Cap Table and its current allocation equity source/treatment. Choose Basic or FD for the implied share-value denominator. The scenario selector can change a linked equity value; pool counts stay shared. If allocation equity is unavailable or unequal economic treatment is selected, award monetary values cannot be interpreted as a valid allocation.
Calculate current, vested and unvested value
For options, current value equals max(share value−strike,0) × outstanding awards. Vested and unvested values use the corresponding outstanding portions. At share value EUR 5, strike EUR 2 and 100 outstanding options, intrinsic value is EUR 300; if 40 are vested, vested intrinsic value is EUR 120. A strike above share value produces zero intrinsic value, not a negative option value.
Read RSU and other incentive values
RSUs/restricted units and other incentive units use share value × outstanding units without subtracting an option strike. This is simplified equal-economic unit value. It does not discount for service conditions, market restrictions, settlement tax or illiquidity. Keep the grant’s vesting and award count separate from any conclusion about realizable proceeds.
What is not calculated
No Black-Scholes or other option-pricing model is applied. There is no volatility/time-value estimate, IFRS 2 or ASC 718 expense recognition, grant-date fair value, deferred tax or treasury-stock-method diluted EPS. Exercise proceeds are calculated only for explicit exercise actions and do not silently increase the Cap Table’s base value allocation. Use these outputs for the documented ownership scenario, not as a compensation-accounting valuation.
Listed-company valuation dilution is separate
The Cap Table/ESOP conventions on this page remain unchanged. For strike-proceeds TSM, outstanding RSU dilution and dated settlement linked to valuation shares, use the listed schedule. It does not automatically add this ownership pool again. Its explicit SBC expense policy is separate from award fair-value accounting, and its forecast diluted average is not GAAP/IFRS diluted-EPS certification.
