Methods and settings
| Method / input | Behavior |
|---|---|
| Investment amount | Divide investment by the derived or explicit issue price. |
| Target ownership | Solve shares for the investor’s target, then derive investment from price. |
Set the pre-money denominator
Select the funding recipient, outstanding class and Basic or Fully Diluted basis. Pre-money share count is the opening denominator on that basis, including preceding active transactions. With pre-money value supplied and price blank, price/share = pre-money value/pre-money shares. An explicit price can instead imply pre-money value; if both are entered, they must agree.
Reconcile a new investor round
At 1,000 pre-money shares and EUR 4,000 pre-money equity, price is EUR 4. An investment of EUR 1,000 creates 250 shares. Post-money equity for pricing is EUR 5,000 and the new investor holds 250/1,250 =20%. A target-ownership round reaches the same answer if target 20% is chosen and the investor initially holds none. Existing investor holdings must be included when interpreting a target.
Copy a valuation as fixed pricing
The transaction control can copy current Cap Table equity value into pre-money pricing and record the source/scenario. It is a fixed copy, not a live repricing link. Later scenario or valuation changes do not silently change the round price. Editing price or pre-money manually replaces that copied-source association. The Cap Table’s holder-value allocation remains a separate value-treatment choice.
Model the pool treatment explicitly
A linked pre/post-money pool top-up uses the same ordered sequence. For linked treatment, the round must be FD-based. Pre-money shuffle with a percentage target requires positive pre-money value and derived price, because pool changes also alter the pricing denominator. Do not insert an additional manual pool into the denominator as well.
Interpret the simplified round
The round is a primary equity issuance. It does not model convertible notes, SAFEs, liquidation preferences, pro-rata rights or transaction fees. New shares and company cash are derived analysis outputs until shares are deliberately applied; even applying shares does not update Model cash or its accounting equity. Analyze can vary eligible investment and pricing assumptions without committing the round.
