Handbook / Ownership

Issued, treasury, outstanding and FD shares

Use consistent count definitions and distinguish actual shares from included unexercised instruments.

Methods and settings

Method / inputBehavior
BasicIssued shares less treasury shares.
Fully dilutedOutstanding shares plus included dilutive instrument units.

Classify the instrument

Common/ordinary and preferred classes count as outstanding share classes. Options and warrants are dilutive instruments. Other equity can be marked outstanding or dilutive. Outstanding shares must be included in FD; eligible dilutive instruments can be included or excluded. The Preferred label does not model a liquidation preference, conversion ratio or priority claim.

Reconcile the count bridge

Issued − Treasury = Outstanding. Outstanding + included dilution = Fully Diluted. With 1,000 issued,100 treasury and 200 included options, Basic is 900 and FD is 1,100. Treasury has no external ownership percentage or holder value. Its count must not exceed issued shares, and treasury is not applicable to unexercised instruments.

Automatic and reported counts

Without a reported issued count, an outstanding class derives issued shares from external allocations plus treasury. With a reported count, external allocations must equal issued less treasury. Instrument allocations must equal their unit total. If Company/Treasury holdings are entered, they allocate the native treasury balance rather than adding external shares; their entered allocation must reconcile.

Include managed pools once

ESOP projects its included awards into dedicated securities. Full-pool basis includes available reserve plus outstanding awards; granted basis includes outstanding awards; vested basis includes vested outstanding awards. Exercised awards become actual shares and leave the award count. Do not add the same pool again as a manually entered option class.

FD is a chosen modeling convention

The base Cap Table counts included units directly. It does not reduce option dilution for assumed exercise proceeds, apply the treasury-stock method or calculate accounting diluted EPS. Authorized shares are an optional total control: issued shares above that total create an issue. Value allocation additionally requires a reconciled ledger and an appropriate economic assumption.

Listed-company valuation dilution is separate

The Cap Table/ESOP conventions on this page remain unchanged. For strike-proceeds TSM, outstanding RSU dilution and dated settlement linked to valuation shares, use the listed schedule. It does not automatically add this ownership pool again. Its explicit SBC expense policy is separate from award fair-value accounting, and its forecast diluted average is not GAAP/IFRS diluted-EPS certification.
