Handbook / Ownership

Holder-to-holder transfers

Move existing shares or eligible instrument units between external holders without changing company-wide counts.

Methods and settings

Method / inputBehavior
UnitsTransfer a specified quantity in one existing security.
Optional priceRecord transaction value without creating company cash.

Choose seller, recipient and security

Add Holder transfer in Equity Transactions. Select different external seller and recipient holders, the security and the number of units. The seller must have enough units at this point in the numbered sequence. Previous active transactions can therefore change what is transferable. Treasury and managed reserve holders are not ordinary external counterparties.

Separate secondary ownership from issuance

Seller holding falls and recipient holding rises by the same quantity. Issued, treasury, outstanding and FD totals are unchanged. If 200 of 1,000 outstanding shares move from one holder to another, their Basic percentages move by 20 percentage points in opposite directions, with no dilution to other holders. This is a secondary transfer, not company funding.

Keep transfer value outside company cash

An optional price produces transaction value = units × price. Company cash remains zero because consideration is between holders. The product does not settle that payment or model personal taxes and transaction fees. Holder values continue to use the selected Cap Table allocation source, rather than replacing equity value with the transfer price.

Use the correct action for managed awards

Managed ESOP counts are controlled through pool/grant actions and cannot be changed as ordinary holdings. Use this transfer only for supported existing securities. Review its effect in the stack, then apply with the full intended sequence if required. Removing an applied row is not a reversal; Undo restores an application.
