Ownership workflow

Build a Cap Table that reconciles shares and ownership

Build the share ledger first, then calculate ownership from a stated denominator. This native BalanceCheat example starts with two holders, one common share class and a reserved option pool. The checks below make the resulting percentages reproducible before any valuation is attached.

Start with an explicit opening ledger

A Cap Table organizes holders, instruments and ownership. Here every name and amount is synthetic. The snapshot is dated 1 January 2026; common shares have equal economic treatment, treasury shares are zero, and all 100,000 pool units are reserved but ungranted.

The native example uses EUR with monetary display in EURk. Share counts in these tables are individual shares or award units: 700,000 shares is not 700,000 EURk. The currency unit and the separate share display unit do different jobs.

  1. Open Ownership → Cap Table and add the common share class with 1,000,000 issued shares and zero treasury shares.
  2. Add Founder A and Investor A. Allocate 700,000 and 300,000 common shares respectively; confirm that external holdings sum to 1,000,000.
  3. In Option Pool / ESOP, create a pool, add a top-up of 100,000 units and choose Full reserved pool. Review and explicitly apply that setup to establish the opening reserve. The download already contains this opening pool balance.
  4. Review the Basic and Fully Diluted views, then inspect the source and denominator of any per-share value.

Reconcile the bridge before using the percentages

Issued − treasury = outstanding. Outstanding + included dilutive units = Fully Diluted shares. Adding an ungranted pool changes the Fully Diluted denominator here; it does not issue 100,000 common shares.

The three displayed FD allocations sum to 100% before rounding. If a reported issued control is changed to 1,100,000 while holders still own only 1,000,000 outstanding shares, the native ledger flags an allocation mismatch. It does not silently scale holder positions to make the table balance.

Choose the pool basis deliberately

Under Full Pool, the reserved 100,000 units enter the denominator, producing 1,100,000 FD units. With Granted Only and no grants, the FD denominator is 1,000,000 and the two holders remain at 70% and 30%. The pool capacity itself is still 100,000 in both settings.

That choice is a stated measurement convention. Use Basic vs Fully Diluted ownership to follow the denominator when part of the pool is granted, and the share-count bridge when treasury holdings change.

Keep the value source separate from the share count

The fixture supplies manual Equity Value of 4,000 EURk solely to make the value source visible. Counts and ownership do not require this valuation. If Equity Value is unavailable, percentage ownership remains calculable while value-per-share outputs remain unavailable.

For a linked valuation, use Equity Value and the correct source/scenario, not Enterprise Value divided by shares. Equal treatment is an explicit simplification: unequal economic rights can make a single pro-rata value allocation inappropriate. The Cap Table value reference documents source behavior.

Reproduce and extend this opening state

Download the native Cap Table example, deliberately import it through the model library, and choose Ownership → Cap Table. This opens a separate example through the existing import flow; the page itself never replaces your current model.

For the next transaction, continue with a priced funding round. For field and reconciliation detail, use Cap Table setup and share-count definitions. This workflow does not provide SAFE conversion, preference waterfalls, a legal shareholder register or equity administration.
