Share-count interpretation

Issued, outstanding and treasury shares: read the count bridge

Outstanding shares equal issued shares less treasury shares. A repurchase into treasury reduces outstanding shares while leaving issued shares unchanged. Cancelling shares already in treasury reduces issued and treasury together, so outstanding shares do not fall a second time.

Read three different counts, not three ownership stakes

Issued is the count that has been issued and remains on this share ledger. Treasury is the part held by the company after repurchase. Outstanding is the part still held externally. The SEC’s educational definitions distinguish these counts from authorized shares, which describe the permitted issuance capacity.

In this synthetic snapshot, Founder A initially holds 1,000,000 common shares. There are no options or other dilutive instruments, so Basic and Fully Diluted counts happen to match. The example isolates the treasury bridge; it does not require a valuation of the entire company.

A repurchase is the cash event; cancellation is a later count event

The company repurchases 100,000 shares at EUR 4 per share. The native transaction calculates a cash outflow of 400 EURk. Issued shares stay at 1,000,000, treasury becomes 100,000, and external holdings fall to 900,000.

Next, the company cancels 40,000 of the shares already in treasury. Issued falls to 960,000 and treasury to 60,000. Their difference remains 900,000. The cancellation has zero additional company cash flow in the native transaction stack; the repurchase price was paid in the preceding step.

The cash column is the Ownership transaction analysis. It is not an automatic writeback into every Model cash or equity line. The legal, distributable-reserve and accounting treatment of an actual repurchase requires its own analysis.

Authorized is a control; unexercised awards are another category

Authorized shares are not automatically added to outstanding or Fully Diluted shares. In BalanceCheat an authorized count can serve as a control: issued shares above that control produce an issue. This does not constitute a statutory register or validate the legal availability of a particular transaction.

Likewise, unexercised awards are not treasury shares. They enter Fully Diluted only under their inclusion convention. If the opening issued and holder counts do not reconcile, the engine flags the mismatch rather than publishing precise ownership percentages from conflicting inputs.

Inspect the two-step native sequence

Download the share-count bridge, import it intentionally, then open Ownership → Equity Transactions & Dilution. Review the opening state, repurchase row, cancellation row and closing state in order. The preview retains the 1,000,000-share opening ledger until you explicitly apply the result.

Use Cap Table construction to set up holders and security controls. The exact mechanics are documented in share counts and buybacks and treasury. This article explains count reconciliation, not a recommendation about whether to buy back shares.
